The purpose of this website (including any portion of this website available only to investors) is limited to providing you with general information on Lantern’s services and philosophy.  Lantern does not render or offer to render investment advice through this website.  Nothing on this website constitutes or forms a part of any offer for sale or subscription of, or any invitation to offer to buy or subscribe for, any securities, nor should it or any part of it form the basis of, or be relied upon in connection with, any contract or commitment whatsoever. Nothing on this website constitutes or forms any offer, or any invitation to engage in any services of Lantern.

Lantern may only transact business, offer services or render investment advice in those jurisdictions where one or more of the Lantern entities are registered and/or have made the appropriate notice filing with such jurisdiction’s regulatory authority, or where Lantern is otherwise excluded or exempted from such jurisdiction’s registration and/or notice filing requirements.

Disclaimers, Limitation of Liability and Indemnification

Lantern hereby disclaims all warranties, conditions and representations of any kind with regard to this website, including any implied warranties or conditions of satisfactory quality, merchantability, non-infringement of third-party rights, freedom from viruses or other harmful code, or fitness for a particular purpose.

This website and the information contained herein are provided “as is.”  The information contained on this website is gathered from sources deemed to be reliable; however, Lantern does not warrant the accuracy, adequacy or completeness of the information and material contained on this website as of the viewing date and expressly disclaims liability for errors or omissions in such information and materials.  Lantern does not make any commitment to update any material or information on this website.

Lantern is not liable for any consequential, incidental, special, punitive or exemplary damages or any loss of profits arising out of any use of, or inability to use, this website or any portion thereof, regardless of whether Lantern has been apprised of the likelihood of such damages occurring and regardless of the form of action, whether in contract, warranty, tort (including negligence), strict liability, or otherwise.

By accessing and/or using this website, you agree to indemnify, defend and hold Lantern and its respective officers, directors, partners, employees, members, agents, information providers, affiliates, licensors and licensees (collectively, the “Indemnified Parties”) harmless from and against any and all liability and costs, including without limitation reasonable attorney’s fees and expenses, incurred by the Indemnified Parties in connection with any claim arising out of a breach by you of these Terms of Use or the representations, warranties and covenants deemed made by you hereunder.  You agree to cooperate as fully as reasonably required in the defense of any claim.  Lantern reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.  You shall not enter into any settlement agreement which affects the rights of any of the Indemnified Parties, or requires any of the Indemnified Parties to take any action, without Lantern’s prior written approval.

Miscellaneous

These Terms of Use constitute the entire agreement between you and Lantern and govern your use of this website and any services offered through this website.  This agreement supersedes any prior terms of use or other agreements concerning the subject matter hereof between you and Lantern.

These Terms of Use and the relationship between you and Lantern shall be governed by, and construed and enforced in accordance with, the laws of the State of Texas without regard to its conflict of law provisions that might cause the application of the laws of another jurisdiction.  You agree to submit to the personal and exclusive jurisdiction of the federal and state courts located within the State of Texas for the resolution of any disputes arising out of or relating to these Terms of Use or this website.
